1 Acceptance of Terms
Welcome to SericSoft Innovations Ltd. By accessing our website, purchasing our services, or signing a contract with us, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.
2 Scope of Services
SericSoft provides custom software development, IT consulting, and membership-based services. The specific scope of work for your project will be detailed in a separate Project Proposal or Service Agreement.
Note: Any features requested outside the initial agreement will be considered "Out of Scope" and billed as an additional cost.
3 Payment Terms
Unless stated otherwise in your contract, our standard payment schedule for development projects is:
- 40% Upfront Deposit to commence work.
- 30% Milestone Payment (usually upon Beta release).
- 30% Final Payment upon project completion and handover.
* Late payments may incur a 5% penalty fee after 14 days. Work may be paused until payment is received.
4 Intellectual Property (IP) Rights
Upon full payment of all fees, SericSoft grants the Client 100% ownership of the final source code and design assets.
However, SericSoft retains the right to:
- Reuse generic code snippets, libraries, or frameworks developed by us for other projects.
- Display the project in our Portfolio or Case Studies (unless a Non-Disclosure Agreement is signed).
5 Cancellations & Refunds
Projects
Deposits are non-refundable once work has commenced. If you cancel mid-project, you will be billed for all work completed up to that date.
Memberships
You may cancel your monthly subscription at any time. Access continues until the end of the billing cycle. No partial refunds.
6 Limitation of Liability
SericSoft Innovations Ltd shall not be liable for any indirect, incidental, or consequential damages (including loss of data, revenue, or profits) arising from the use of our software or services. Our total liability is limited to the amount paid by you for the specific service in question.
7 Governing Law
These Terms shall be governed and construed in accordance with the laws of the Republic of Kenya. Any disputes shall be subject to the exclusive jurisdiction of the Kenyan courts.
